1. Who we are

NairaBio is run by Sentri Digitals Ltd (trading as NairaBio), a business registered in Nigeria (RC 8992567), whose registered address is Ogun State, Nigeria. In these terms, “NairaBio”, “we” and “us” mean Sentri Digitals Ltd.

NairaBio gives sellers one link (nairabio.com/yourname) where buyers can see what they sell, pay for products, book services and track their orders. Payments are processed by our payment partner, Bachs (bachs.io).

You can reach us at [SUPPORT EMAIL: support@nairabio.com — confirm].

2. These terms and the other documents

These terms apply to everyone who uses NairaBio: buyers, sellers and visitors. Some documents add to them:

  • Sellers also agree to the Seller Agreement when they set up payouts. If it says something different from these terms about selling, payouts or refunds, the Seller Agreement wins.
  • The Prohibited items list says what can’t be sold on NairaBio.
  • The Buyer refund policy explains how problems with orders and bookings are sorted out.
  • The Privacy Policy explains what personal data we collect and why.

Nothing in these terms takes away rights you have under Nigerian law that can’t be taken away by agreement, including your rights as a consumer under the Federal Competition and Consumer Protection Act 2018.

3. What NairaBio does, and what it doesn’t

The seller sells, not NairaBio. When you buy from a NairaBio link, your contract for the product or service is with the seller. The seller decides what to sell, the price, the delivery and the quality, and is responsible for it. We don’t make, stock, inspect or deliver anything.

Usually the money goes to the seller’s own account. Most payments are made straight into the seller’s own account with Bachs, and the seller is the merchant of record for that sale. NairaBio’s fee is taken from the payment automatically.

Sometimes NairaBio collects for the seller. A new seller can open their shop before Bachs has finished checking their ID. Until Bachs switches a payment method on for that seller, NairaBio collects that method’s payments on its own Bachs account (we call this platform collection). For those sales NairaBio is the merchant of record: we receive your money, we handle any refund or card dispute until we pass the seller their share, and we pass it on once the seller’s ID is approved. The order itself (what was bought, delivery and quality) is still the seller’s responsibility. If the seller never gets verified, we refund buyers from the money we hold for that shop.

The payout schedule is not escrow. For every sale, the seller’s money stays held until the order is delivered and the buyer has had a chance to report a problem (see the Buyer refund policy). This is a payout schedule the seller agrees to, not an escrow or trust service, and NairaBio is not a bank.

We help when things go wrong. If a buyer and seller can’t agree about a problem, our team looks at both sides and decides whether a refund is due, using the rules in the Buyer refund policy. We don’t guarantee any seller or product.

4. Who can use NairaBio

  • To sell, you must be at least 18, able to enter a binding contract, and have a Nigerian bank account and NIN in your own name (or your registered business’s name).
  • To buy, you must be at least 18, or be using NairaBio with the permission and supervision of a parent or guardian.
  • You can’t use NairaBio if we or Bachs have closed your account before, or if the law doesn’t allow you to.

5. Seller accounts and WhatsApp codes

Buyers don’t need an account. Sellers sign up by claiming a link and log in with a 6-digit code we send to their WhatsApp number (or to email if WhatsApp isn’t working).

  • Each code works once, for 10 minutes. Never share a code with anyone. NairaBio staff will never ask for it.
  • Each phone or computer stays logged in for 90 days. You can log out any device, or all of them, in Settings.
  • Keep your WhatsApp number and email up to date. Anyone who controls them can log in as you, so tell us at once if you lose your phone or think someone else has access.
  • Changing your WhatsApp number or your payout bank account needs extra codes, and pauses payouts for 24 hours to protect you.
  • The information you give us (shop name, contact details, bank and identity details) must be true and yours.
  • You’re responsible for what happens in your account unless it happened because we failed to protect it.

Your link (handle) is yours to use while your account is in good standing. If you change it, the old one keeps pointing to your shop and can’t be taken by anyone else. We may take back or change a handle that misleads people or infringes someone’s trademark.

6. WhatsApp and email messages

NairaBio runs on WhatsApp. We send login codes, receipts, order updates, reminders and alerts by WhatsApp (through Meta’s WhatsApp Business service) and by email.

  • Sellers agree to receive these messages about their shop when they claim their link.
  • Buyers receive messages about the order or booking they made, sent to the WhatsApp number they gave at checkout.
  • These are service messages, not marketing. We won’t send you marketing on WhatsApp without asking first.
  • Your mobile network may charge you for data.

7. Buying on NairaBio

  • Check the item, price, options, delivery fee and ready date before you pay. The total you see at checkout is what you pay.
  • You can pay by bank transfer (to a one-time account number that works for 30 minutes) or by card. Card and transfer payments are processed by Bachs, not stored by NairaBio.
  • Pay only through the NairaBio checkout or a NairaBio payment link. If a seller asks you to pay them some other way, we can’t help you if something goes wrong.
  • Only pay a payment link from a seller you’ve actually been dealing with. Use “Report this link” if something looks wrong.
  • After you pay, the seller has 24 hours to accept your order. If they don’t, it’s cancelled and you’re refunded.
  • When your order arrives, tap “I got it”. If there’s a problem, report it within 3 days of delivery. Refunds are explained in the Buyer refund policy.
  • For bookings, the seller’s reschedule, cancellation and no-show rules are shown before you pay and summarised in the Buyer refund policy.

8. Selling on NairaBio

Before you can withdraw money you must complete the Seller Agreement, add a payout account and pass identity checks. In short, as a seller you agree to:

  • describe what you sell honestly, with real photos, prices and delivery times;
  • deliver what buyers paid for, on time, or cancel and refund them;
  • reply to problem reports within 48 hours and refund buyers when a refund is due;
  • sell only things you’re allowed to sell, and nothing on the Prohibited items list;
  • keep to the payout schedule, limits and other rules in the Seller Agreement;
  • handle buyers’ personal data (names, numbers, addresses) only to fulfil their orders, and keep it safe.

9. Fees

Buyers don’t pay NairaBio anything. Sellers pay:

FeeAmountWho charges it
NairaBio fee1% of each sale (items plus delivery)NairaBio
Bank transfer processing1.5%, never more than ₦2,000Bachs
Card processing2% (Nigerian cards)Bachs
Daily payout to your bankFree: NairaBio pays the payout feeBachs (paid by NairaBio)

Fees are taken from each payment before the money reaches the seller’s balance. Where the app offers it, a seller can choose to add the processing fee to the buyer’s total, and the buyer sees it before paying. Other costs (refund transfers, card dispute fees, the optional Pro plan) are set out in the Seller Agreement.

Bachs sets its own processing fees and may change them. We’ll tell sellers at least [FEE CHANGE NOTICE: 30 days — confirm] before NairaBio’s own fee goes up.

10. Things you must not do

Whether you buy or sell, don’t use NairaBio to:

  • break any law, or sell or buy anything on the Prohibited items list;
  • deceive people: fake shops, fake orders, fake reviews or “completed orders”, or pretending to be someone else;
  • launder money, move money for someone else, or split payments to get around limits;
  • pay with a card or bank account you’re not allowed to use, or make false refund claims or card disputes;
  • harass, threaten or abuse anyone, including our team;
  • copy, scrape or overload the site, test our security without our written permission, or get around our limits, codes or other protections;
  • upload anything you don’t have the right to share, or anything sexual, violent or hateful;
  • use buyers’ or sellers’ contact details to spam them or for anything other than the order.

11. Your content and ours

You keep ownership of the photos, names and descriptions you upload. You give us a free, non-exclusive licence to host, show, resize and share them (for example on your storefront, share cards and link previews) so we can run NairaBio and show your shop to buyers. The licence ends when you remove the content, except for copies already shared or kept in records we must keep.

The NairaBio name, logo, app and website belong to us. You can share your NairaBio link and share cards freely, but please don’t use our brand in a way that suggests we endorse you.

If you think something on NairaBio infringes your rights, tell us at [SUPPORT EMAIL: support@nairabio.com — confirm] with the link and why, and we’ll look into it.

12. Suspending and closing accounts

We may pause a shop, a payment link or an account, or stop it taking payments, if:

  • it breaks these terms, the Seller Agreement or the law;
  • it sells prohibited items, or buyers report it for fraud;
  • we, Bachs or a regulator reasonably suspect fraud, money laundering or another serious risk;
  • a refund the seller owes stays unpaid for 14 days (the shop reopens once it’s paid);
  • the law or a court, regulator or Bachs requires it.

Where it’s safe and lawful, we’ll tell you why and how to fix it. A pause doesn’t cancel what you already owe: refunds to buyers and money owed to NairaBio stay due.

Sellers can ask us to close their shop at any time at [SUPPORT EMAIL: support@nairabio.com — confirm]. We’ll close it once open orders, bookings, refunds and disputes are finished and your money has been paid out. We keep some records after closing, as the Privacy Policy explains.

13. Keeping NairaBio running

We work hard to keep NairaBio available, but we can’t promise it will always be on or error-free. Payments, WhatsApp messages and identity checks depend on partners (such as Bachs and Meta) and on banks, and these can be slow or unavailable. We may change, add or remove features; if a change takes away something important to sellers, we’ll give notice where we reasonably can.

14. Our liability

Nothing in these terms limits liability that the law doesn’t allow us to limit, such as for fraud, or for death or injury caused by our negligence.

Apart from that:

  • We’re not responsible for the products or services sellers sell, for what sellers or buyers do, or for delays and failures caused by banks, Bachs, Meta, mobile networks, power cuts or other events outside our reasonable control.
  • We’re not liable for indirect losses, such as lost profits, lost business or lost opportunities.
  • Our total liability to you for any claim about NairaBio is limited to the greater of (a) the NairaBio fees you paid us in the 12 months before the claim, and (b) [LIABILITY CAP: ₦ amount — lawyer to set]. This limit doesn’t apply to money we collected for a seller under platform collection and haven’t yet passed on: we owe that to the seller (or refund it to the buyer) in full.

If you break these terms and that causes us loss (for example a fine, a chargeback or a claim by someone else), you agree to make it good, to the extent the law allows.

15. Complaints and disputes with us

If you’re unhappy with NairaBio, tell us at [SUPPORT EMAIL: support@nairabio.com — confirm]. We’ll reply within [COMPLAINT REPLY TIME: 5 working days — confirm] and try to sort it out.

If we can’t agree within 30 days, either of us may refer the dispute to mediation under the Arbitration and Mediation Act 2023 in [SEAT: Lagos — confirm], or go to the courts named below. Buyers keep the right to complain to the Federal Competition and Consumer Protection Commission (FCCPC).

Problems between a buyer and a seller about an order or booking follow the Buyer refund policy.

16. Changes to these terms

We may update these terms as NairaBio changes or the law changes. The date and version at the top show which edition you’re reading. For important changes we’ll tell sellers by WhatsApp or email at least [TERMS CHANGE NOTICE: 14 days — confirm] before they take effect and, where the law requires, ask you to agree again. If you don’t agree, you can stop using NairaBio and close your shop before the change applies.

17. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria. The courts of [COURTS: Lagos State — confirm], Nigeria, have jurisdiction, without taking away any right you have to bring a claim where you live in Nigeria.

If a court finds part of these terms invalid, the rest still applies. If we don’t enforce a right straight away, we can still enforce it later. You can’t transfer your account or these terms to someone else without our agreement; we may transfer them to a company that takes over NairaBio, and we’ll tell you if we do.
